Terms of Business and Fee Structure

Different Services

In order to meet the varying needs of business people we offer a number of different services:

For Owners Selling A Business

  • We provide a full range of brokerage services to help owners through the complete sale process. Owners may purchase some or all of the services provided. We can provide Confidentiality for the owner during the sale process. Details of our Business Sale Services
  • For owners who are happy to handle the sale of the business themselves we offer a "Listing Service". Owners list the business for sale on our website. Details of enquirers are forwarded to the owners. Details of the businesses for sale are forwarded to the enquirers. This is the on-line equivalent of putting a "For Sale" sign outside your business. We can also screen details of your business from enquirers for a small additonal charge. Details of our Website Listing Services

For Owners, Managers or Investors Buying A Business

  • We provide a full range of brokerage services to help prospective buyers through the complete purchase process. Buyers may purchase some or all of the services provided. We can provide Confidentiality for the buyer during the purchase process. Details of our Business Purchase Services

Fees

For Owners Selling A Business

  • Brokerage Services: As the range of services used varies from client to client we will discuss your requirements with you and give you a quotation for the services you want. Please contact a Broker for information.

  • Listing Services: The fee for the Standard Listing Service is €80 + VAT. This allows you to list the business until it is sold or for up to one year (whichever comes first). You will receive details of potential purchasers. Details of your business will be sent to the potential purchasers. If you wish us to screen details of your business from enquirers a small additional charge of €100 + VAT is required. Register as a Seller.

For Owners, Managers or Investors Buying A Business

  • Brokerage Services: As the range of services used varies from client to client we will discuss your requirements with you and give you a quotation for the services you want. Please contact a Broker for information.

What Our Services Do Not Include

Our services do NOT include any legal, financial or tax services, nor do we give legal, financial or tax advice. We strongly recommend you receive such advice from a properly qualified professional advisor in these areas.


Indicative Prices of Other Services

(Outside a Sale Agreement)

Marketing Activity: These costs are variable depending on the type, size and location of the business.
1. Erecting a "For Sale" sign. Budget between €100 to €300 for a typical business.
2. Advertisement(s) in local/national/international daily/weekly and trade press and professional/trade journals. Budget between €600 for multiple inserts in the leading local newspapers up to €2,000 for a comprehensive campaign.
3. As part of our service we identify potential purchasers and write personalised letters to up to 200 targets in your business sector. If you wish to contact a more extensive range of potential purchasers we can prepare an extended hit list from bought-in mailing lists, supplemented by library, professional or trade association research. We will then write personalised letters to the targets. Budget between €500-€1250 for a typical business.
4. On Line web site promotion in local, national and international web sites. Budget up to €100.

Pre Sales Audit/Grooming: This involves the preparation of an audit report on the saleability of your business. It gives a "warts 'n' all" picture of the business from a buyer's perspective. It is in effect a dry run of "Due-Diligence" on your business, to highlight issues that would dissuade a buyer or could be used by a buyer to justify a reduced offer price.

It will also provide recommendations on what should be done now to make the business more marketable. It provides a realistic market valuation of the business, as well as a projected valuation, if the various recommendations are carried out. The fee for the Audit is based on the amount of work required to complete the report. If financial, sales, marketing and other company information is readily available then the cost and time to complete the audit is drastically reduced.

It is only after a Pre-Sales Audit has been completed, that an informed decision to sell (or not) should be made. If not part of a exclusive selling agreement, the cost will be based on the actual time required to perform the audit. Budget €1,500 to €4,000.

Pre-Sale Valuation: For ad hoc valuation reports prepared by the broker and/or third-party experts. There is no cost for an oral and non-binding market estimate, where the agreement is to use BizSales to sell the business. A detailed actual market estimate for the purpose of a 3rd party sale, management buy out, internal audit, or probate etc is based on the actual time required to perform the audit. If not part of a sole & exclusive selling agreement budget €750 to €2,500.

Documentation: This covers the preparation of Confidentiality Agreements, the Information Memorandum, the draft Sales Contract, and any and all supporting documentation to facilitate the sale, as well as the preparation of draft Legal or Financial documents that would reasonably be expected to be in place. If not part of a sole & exclusive selling agreement, this fee can range from €250 upwards depending on the documents required.

Please note that we normally work with your accountants and solicitors in the preparation of financial and legal documents.

The Small Print

1. Subject to VAT at relevant rate.
2. For Business Sales your solicitor is to pay ourselves directly from the sale proceeds on the day of the sale.
3. We normally operate only on an exclusive, sole agency basis i.e. you cannot list the sale of the business with another broker/agent, during the time of our agreement. You must inform us if you appoint another agent or complete the sale of the business yourself.
